E+ Office End-User License Agreement

In short: E+ Office is an internal tool that Esperanza Real Estate Investments LLC provides to its own staff. It may be used only for Esperanza's work, on Esperanza's equipment, and is provided as is.

1. Parties and scope

This agreement is between Esperanza Real Estate Investments LLC ("Esperanza") and each employee or contractor of Esperanza who uses the E+ Office application (the "user"). E+ Office is not licensed, sold or made available to anyone outside Esperanza.

2. License

Esperanza grants the user a limited, non-transferable right to use E+ Office for Esperanza's own business, on equipment Esperanza designates. The user may not copy, distribute, sell, rent or modify the application, or let anyone outside Esperanza use it.

3. Connected services

- When a user connects E+ Office to Esperanza's QuickBooks Online company, the user does so on Esperanza's behalf and with Esperanza's authority. That connection is also subject to Intuit's terms for QuickBooks Online and its developer platform.

- Access to Esperanza's AppFolio account through E+ Office is likewise on Esperanza's behalf and subject to AppFolio's terms.

- Esperanza may disconnect either service at any time.

4. The user's responsibilities

- Review every deposit the application proposes before approving it. Approval records the deposit in Esperanza's books.

- Keep sign-in credentials for QuickBooks and AppFolio private; the application does not store them.

- Use the application only for Esperanza's accounting and office work.

5. Ownership

E+ Office, including its code, rules and logs, belongs to Esperanza. The accounting data it reads and records belongs to Esperanza. QuickBooks and Intuit are trademarks of Intuit Inc.; AppFolio is a trademark of AppFolio, Inc.; neither company is a party to this agreement.

6. No warranty

E+ Office is an internal tool provided as is, without warranty of any kind. Esperanza does not promise that it is free of errors or that it will be available at all times. Entries it records are checked by the user who approves them and by Esperanza's normal month-end review.

7. Limitation of liability

To the extent the law allows, Esperanza is not liable to a user for any indirect or consequential loss arising from the use of E+ Office. Nothing in this agreement limits liability that cannot be limited by law.

8. Term and termination

This agreement applies for as long as the user has access to E+ Office. Esperanza may end a user's access at any time, and access ends when the user's work for Esperanza ends.

9. Governing law

This agreement is governed by the laws of the State of Oklahoma.
